End User License Agreement
**Iridology Analysis Toolkit License Agreement**
Effective date: 8.17.2026
This End User License Agreement (“Agreement”) is a legal agreement between you,
either an individual or a single entity (“you”), and (“CNRI”, “we”, “us”), covering the Iridology Analysis Toolkit software, including the desktop, Android and iOS builds, together with its documentation, chart data and analysis models (the “Software”).
By installing, activating or using the Software – including during the free trial – you agree to this Agreement. If you do not agree, do not install or use the Software, and delete any copy in your possession.
## 1. Relationship to our other terms
This Agreement governs your use of the Software itself. Our website terms, purchasing terms and refund policy are published separately at [iridology-software.com/tos](https://iridology-software.com/tos/) and [iridology-software.com/refund_returns](https://iridology-software.com/refund_returns/).
Where you obtained the Software through a third-party app store, that store’s own terms govern the transaction and any subscription billing; this Agreement still governs how you may use the Software. Where this Agreement and our website terms conflict on the subject of the license grant, this Agreement controls.
## 2. Definitions
– **License Key** — a key in the form `CNRI-XXXX-XXXX-XXXX-XXXX` issued by us.
– **License File** — a cryptographically signed `.lic` file issued by us, which the Software verifies offline against a public key embedded in the application.
– **Machine ID** — a 32-character identifier the Software derives locally from
characteristics of your device, used to bind a license to that device. See §5.
– **Trial License** — the time-limited license described in §4.
– **Device** — one physical computer, phone or tablet.
## 3. License grant
Subject to your compliance with this Agreement and to payment of any applicable fee, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software as follows.

“Perpetual” means the license to use the version you were licensed for does not
expire. It does not entitle you to future major versions except as set out in
§13.
You may make one copy of the Software for backup or archival purposes.
## 4. Trial license
The Software starts a 14-day Trial License automatically on first launch, with full functionality, at no charge and without requiring payment details. The trial is intended to let you evaluate the Software in your own workflow.
The trial period is recorded on your device. Reinstalling the Software, clearing its data, or otherwise resetting that record in order to obtain repeated trial periods on the same Device is a breach of this Agreement, whether or not the Software prevents it.
When the trial ends, the Software stops functioning until a License Key or License File is activated. Data you created during the trial is not deleted.
## 5. Activation and device binding
A paid license is bound to a Device. To make that possible the Software computes
a Machine ID locally, by combining hardware and operating-system identifiers and
processing them through a one-way cryptographic hash. The identifiers themselves
are not transmitted to us and cannot be recovered from the Machine ID.
When you activate a License Key, the Software sends to our license server: the License Key, the name and email address you enter, the Machine ID, the application version, and the operating-system family (for example “android”). We use this to issue and track the activation, to enforce the device limit of your license type, and to provide support.
A License File activates without contacting our server at all, because its signature is verified on your Device. This is the intended route for sideloaded and offline installations.
You are responsible for the accuracy of the name and email address you supply, and for keeping your License Key confidential. A License Key or License File is issued to you and must not be shared, published or redistributed.
## 6. Continued validation and offline use
The Software checks your license with our license server periodically. It is designed to keep working without a network connection, within limits that depend on how the license was activated:
– **License File** — works indefinitely offline. The signature is the proof of licensing, so no server contact is ever required.
– **Server-confirmed License Key** — works offline for 7 days from the last successful check.
– **License Key accepted offline** (activated while our server was unreachable)
— works for 7 days from activation, within which it must reach our server once to be confirmed.
If a license cannot be validated within the applicable window, the Software stops
functioning until a connection is available. We do this to enforce device limits
and to make revocation effective; it is not a mechanism for collecting data about
your use of the Software.
## 7. Revocation
We may revoke a license, and the Software will then stop functioning at its next
validation, if:
– the license was obtained by fraud, or a charge back or refund has been processed;
– the License Key or License File has been shared or redistributed; or
– you are in material breach of this Agreement and have not remedied it within 14 days of our written notice, where the breach is capable of remedy.
Revocation for any other reason entitles you to a pro-rata refund of any fee paid for the unexpired portion of a time-limited license.
## 8. Device changes and transfers
A license is tied to a Machine ID, and a Machine ID reflects the Device it was computed on. Replacing hardware, resetting a phone to factory settings, or reinstalling an operating system can change it. When that happens the Software will report that the license belongs to a different device.
You may move a license between Devices you control. Deactivate it in the Software first, which releases the activation, or contact support and we will release it for you. There is no charge for a transfer. We may decline transfer requests that are frequent enough to indicate concurrent use on multiple Devices under a single-device license.
## 9. Restrictions
You may not, and may not permit anyone else to:
1. copy, distribute, sell, rent, lease, sub-license or lend the Software, or make it available to third parties, including by redistributing an installer or Android APK you received from us;
2. reverse engineer, decompile or disassemble the Software, or attempt to derive
its source code, except to the extent this restriction is unenforceable under applicable law;
3. circumvent, disable, tamper with or attempt to forge any part of the licensing
mechanism, including the Machine ID, the stored license record, the signature verification of a License File, or the validation described in §6;
4. remove or alter any proprietary notice, or use our names, logos or trade marks
without written permission;
5. use the Software to provide a commercial analysis service to third parties under an Enterprise license issued for internal clinical or teaching use, except as that license expressly permits; or
6. use the Software in breach of applicable law, including the medical-device, professional-practice and data-protection rules of your jurisdiction.
## 10. Intended use — research and education only
**The Software is not a medical device.** It has not been cleared, approved or
certified by the U.S. Food and Drug Administration, by any notified body under EU
Regulation 2017/745, or by any other regulator, and it is not intended for use in
the diagnosis, cure, mitigation, treatment or prevention of any disease or
condition.
The Software is supplied for research, educational and documentary purposes. Its outputs – including iris and pupil measurements, zone maps, confidence scores and any interpretive text drawn from historical iridology chart traditions – are not diagnostic findings and must not be presented to a patient as such, relied on for a clinical decision, or used as a substitute for examination, diagnosis or advice by a qualified healthcare professional.
Iridology is not accepted by mainstream medicine as a diagnostic method in most countries. Nothing in the Software or its documentation is a representation by us that its outputs have diagnostic validity.
You are solely responsible for how you use the Software’s outputs, for obtaining any consent required to photograph a person’s eyes, and for complying with the professional and legal obligations that apply to you.
## 11. Your data
The Software performs its analysis on your Device. Captured images, patient details, analysis results and scan history are stored locally, and are not transmitted to us. The only routine network communication the Software makes to us is license activation and validation, carrying the data described in §5.
Reports, images and exports leave your Device only when you choose to send them, using functions such as export, print, share or email, and then only to the destination you select. You are the controller of any personal or health data you enter, and you are responsible for holding it lawfully, for securing the Device, and for honouring any rights your patients or research subjects have in it.

## 12. Ownership
The Software is licensed, not sold. We and our licensor retain all right, title and interest in the Software, including its analysis models, chart data and documentation, and all intellectual property rights in them. You retain all rights in the images and records you create with it.
The Software includes third-party open-source components, which remain subject to
their own licenses. Those licenses are listed in the Software’s about screen and
prevail over this Agreement in respect of those components.
## 13. Updates and support
We may provide updates, including corrections and security fixes, at our discretion. Updates are delivered through the channel you obtained the Software from; for sideloaded Android installations, that means a new APK supplied directly by us, and installing it is your choice.
An update may be subject to this Agreement or to revised terms presented at the
time. A new major version may be a separate paid product. Support is provided by
email at [helpdesk@iridology-software.com](mailto:helpdesk@iridology-software.com),
on a reasonable-efforts basis, and Professional and Enterprise licenses receive
priority.
## 14. Term and termination
This Agreement takes effect when you first install or use the Software and continues until your license expires or is terminated.
You may terminate at any time by ceasing use and removing all copies of the Software. We may terminate on the grounds set out in §7. On termination you must stop using the Software and remove all copies; §§9-12 and §§15-17 survive.
Termination does not affect your locally stored data, which remains on your Device and under your control.
## 15. Disclaimer of warranties
To the maximum extent permitted by law, the Software is provided **”as is” and “as available”, without warranty of any kind**, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the Software will be uninterrupted or error-free, that its measurements or confidence scores are accurate or clinically meaningful, or that defects will be corrected.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Nothing in this Agreement limits rights you have as a consumer that cannot lawfully be limited.
## 16. Limitation of liability
To the maximum extent permitted by law:
– we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost data, business interruption, or any harm arising from a clinical, diagnostic or treatment decision influenced by the Software; and – our total aggregate liability arising out of or relating to the Software or this Agreement will not exceed the greater of the amount you paid us for the license in the twelve months preceding the claim, or USD 50.
These limits apply regardless of the theory of liability and even if we were advised of the possibility of the damage. They do not apply to liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
You accept that the Software’s outputs are not medical diagnostic and that the fee charged reflects this allocation of risk.
## 17. General
**Governing law.** This Agreement is governed by the laws of the United States, without regard to its conflict-of-laws rules.
**Entire agreement.** This Agreement, together with the documents referenced in §1, is the entire agreement between us regarding the Software and supersedes any prior understanding on its subject matter.
**Severability and waiver.** If a provision is held unenforceable, the rest remains in force. A failure to enforce a provision is not a waiver of it.
**Assignment.** You may not assign this Agreement without our written consent. We may assign it in connection with a merger, acquisition or sale of assets.
**Changes.** We may revise this Agreement for future versions of the Software or for new licenses. Revised terms do not apply retroactively to a perpetual license already granted, except where a change is required by law. The current version is always published at this page, with its effective date above.
